Penning has acquired the wealth management division of Lithuanian crypto investment platform Veli, using the transaction as the foundation for the launch of a new business unit, Penning Wealth.

The deal strengthens Penningโs position in the European digital asset market and highlights a growing trend of consolidation among crypto firms seeking to capitalize on the European Unionโs Markets in Crypto-Assets (MiCA) regulatory framework.
Through the acquisition, Penning gains access to Veliโs wealth management technology, client base, and long-term investment infrastructure while expanding its capabilities beyond active trading and portfolio management.
MiCA authorization enables seamless European expansion
A key strategic driver behind the transaction is Penningโs existing Crypto-Asset Service Provider (CASP) authorization under MiCA.
The license allows the company to passport regulated crypto services across the European Union and European Economic Area, providing a streamlined framework for integrating Veliโs European clients into its broader ecosystem.

Under the integration plan, Veliโs European wealth management customers are expected to migrate to the new Penning Wealth platform by the end of June 2026.

Importantly, Veli will continue operating as a separate legal entity under its existing ownership structure. The transaction includes only the wealth management business, associated software infrastructure, and related client relationships.
